Acceptance of Terms

By registering for Business Scale-Up Shastra™ or using businessscaleupshastra.com, you agree to be bound by these Terms & Conditions. These constitute a legally binding agreement between you and Altus Corp (Proprietor: CA Manan Vasa), governed by the laws of India.

These Terms govern your registration, participation, and use of businessscaleupshastra.com ("Website"), the Business Scale-Up Shastra programme ("Programme"), and its live Orientation, operated by Altus Corp ("we", "us", "our"). By clicking "Reserve My Seat", "Enrol", or by ticking the consent box on any registration or payment form, you confirm that you have read, understood, and agree to these Terms, the Privacy Policy and the Refund Policy.

About the Programme

Business Scale-Up Shastra is a 6-month closed implementation cohort strictly limited to 25 founders of ₹2–100 Cr businesses, in which CA Manan Vasa and his Implementers work inside the participant's business. It comprises 24 group cohort sessions, 72 one-to-one implementation meets, weekly peer accountability and ongoing hand-holding. The programme is preceded by a live 3-hour Orientation, which may be offered free of charge or at a published fee.

Programme content, schedule, format, facilitators, and session dates are subject to change at our discretion. Material changes will be communicated to registered participants via email or WhatsApp.

Eligibility

Participation is open to individuals who are:

• At least 18 years of age
• Competent to enter into a legally binding contract under the Indian Contract Act, 1872
• Business owners, founders, directors or senior decision-makers seeking to scale up their business

This is an application-based cohort. Before enrolment we evaluate readiness, time commitment, willingness to be examined, implementation gaps, and alignment of expectations. Altus Corp reserves the right to refuse registration to any individual without providing reasons.

Registration & Payment

Registration is confirmed only upon receipt of payment in accordance with the selected plan. Partial payments do not guarantee a seat. Programme fees are quoted exclusive of GST unless stated otherwise; GST is charged where applicable. A GST invoice will be issued upon successful payment.

Payments are processed via Jodo, Razorpay and PayU, our authorised payment gateway partners. By proceeding with payment, you agree to their respective terms and conditions. All payment data is handled directly by the gateway; Altus Corp does not store card or bank account details.

Instalment (EMI) plans are collected by standing instruction or e-NACH mandate. You remain obligated to complete all instalments for the plan you select.

In the event of payment failure or technical error, contact us before attempting payment again to avoid duplicate charges. Refunds for verified duplicate payments will be processed within 10 business days.

Programme Delivery

• Zoom join links are shared 1 day and 1 hour before each session via email and/or WhatsApp.
• In-person participants must attend at the confirmed Mumbai venue. Venue details will be shared prior to the session.
• Sessions are conducted live. Recordings, if made available, are shared at sole discretion and remain our intellectual property.
• Altus Corp is not responsible for participant connectivity issues, device incompatibility, or disruptions caused by third-party platforms (including Zoom).
• We reserve the right to reschedule or cancel any session due to unforeseen circumstances (illness, force majeure, insufficient attendance). Rescheduled sessions do not entitle participants to a refund.

Intellectual Property

All programme materials — including frameworks, templates, workbooks, slides, recordings, exercises, dashboards and methodologies, and the Shastra module names — are the exclusive intellectual property of Altus Corp or CA Manan Vasa, protected under the Copyright Act, 1957.

Participants are granted a personal, non-transferable, non-sublicensable licence to use programme materials for their own learning and business application. Participants may not:

• Record, reproduce, or distribute any session or material without prior written consent
• Share login credentials, session links, or materials with non-registered individuals
• Use programme content for commercial training, resale, or consulting purposes
• Post session recordings or materials on any public platform

Breach of this clause may result in immediate removal from the programme without refund and legal action under applicable IP laws.

Prohibited Conduct

Participants must maintain professional conduct throughout the programme. The following are strictly prohibited:

• Disruptive, abusive, or disrespectful behaviour toward the facilitator or other participants
• Sharing session access credentials with unauthorised persons
• Recording sessions without explicit written permission
• Making defamatory or misleading statements about the programme or Altus Corp on any platform
• Spamming or soliciting other participants within programme channels

Altus Corp reserves the right to remove any participant who violates these conduct standards, without refund.

Testimonials & Disclaimer of Results

Testimonials, case studies and result figures displayed on this Website represent individual experiences of past participants. They are shared with consent and reflect results achieved under specific personal and business circumstances.

Disclaimer of Professional Advice

The content delivered through this programme is for educational and informational purposes only. It does not constitute financial, investment, tax, legal, or accounting advice. CA Manan Vasa's professional qualifications are not engaged in his capacity as a programme facilitator. Participants requiring professional advice should engage a qualified professional directly.

Other Services Offered

In addition to the Business Scale-Up Shastra cohort and its Orientation, Altus Corp offers the Productivity Shastra programme and the services described below. The terms in this section apply to those services in addition to the general Terms above.

Consulting & Advisory Services

• One-to-one consulting, group consulting, corporate consulting, coaching, and productivity consulting are offered.
• Consulting engagements are governed by a separate consulting agreement, which prevails over these Terms in case of conflict for that engagement.
• Payments may be structured on a milestone basis as set out in the engagement.
• We do not guarantee any specific result or outcome, and consulting fees are non-refundable.

Corporate Training

• Corporate training is booked against 100% advance or an agreed payment schedule.
• Travel and accommodation for the trainer are charged separately and borne by the client.
• Training material is included. The trainer may record sessions; the client and participants may not record sessions without prior written consent.
• Rescheduling is considered on a case-by-case basis. Cancellation is permitted as per the engagement terms. A replacement trainer is not guaranteed.

Workshops & Events

• Both online and offline (in-person) workshops and events are conducted.
• Venue and format changes are permitted at discretion; registered participants will be informed of material changes.
• Participant substitution is not allowed unless expressly approved in writing.

Digital Products & Online Courses

• Online courses, templates, memberships, and other digital products may be offered (some delivered through apps).
• Digital products and downloads are for personal use, are non-transferable, and are non-refundable once access is granted.

Attendance, Repeat Sessions & Certificates

• No-show: Failure to attend a booked session without prior intimation results in forfeiture of that session; no refund is due.
• The Free Repeat: Participants of the paid cohort may repeat the programme at no additional cost — every time, without limit — provided they continue without a break between batches, subject to seat availability and discretion.
• Orientation: Participants who miss the Orientation may attend a future Orientation once at no additional cost.
• Certificates: Attendance or completion certificates are not provided for these programmes.
• Recordings, where shared, are provided at the facilitator's sole discretion on a case-by-case basis.

Website Accounts & User Submissions

• Certain features may allow you to create a user account and make submissions. You are responsible for the accuracy of your submissions and for keeping your credentials confidential.
• Public comments are not enabled. Spam, fraud, and unlawful activity are strictly prohibited.
• Altus Corp may suspend or terminate accounts that breach these Terms, engage in fraud, or misuse the Website, without prior notice.

Cancellation & Refund Policy

Please read the Refund Policy carefully before registering. By completing payment, you confirm that you have read and accepted the refund terms. In summary: all fees are non-refundable once payment is received, save for the limited exceptions set out in that Policy.

Limitation of Liability

To the fullest extent permitted under applicable Indian law, Altus Corp's aggregate liability to any participant or client for any claim arising out of or in connection with our programmes, services, or this Website shall be limited to nil (zero). Without limiting the foregoing, we shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any business losses, loss of profits, revenue, data, or opportunity. No guarantee of business growth or profitability improvement is made; any results depend entirely on individual effort, application, and factors beyond our control.

Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of courts in Mumbai, Maharashtra. Disputes shall first be attempted to be resolved through good-faith negotiation within 30 days, failing which they may be referred to arbitration under the Arbitration and Conciliation Act, 1996, seat at Mumbai, sole arbitrator by mutual agreement.

Modifications

Altus Corp reserves the right to update these Terms at any time. Registered participants will be notified of material changes via email. Continued participation in the programme after such changes constitutes acceptance.

Force Majeure

We shall not be liable for any failure or delay in delivering a session, programme, or service caused by events beyond reasonable control, including natural disasters, government restrictions, internet or platform (including Zoom) outages, power failures, or medical emergencies. In such events, we will endeavour to reschedule the affected session. The occurrence of a force majeure event does not entitle a participant to a refund.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a competent court, that provision shall be severed and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy (and any separate consulting or corporate engagement agreement, where applicable), constitute the entire agreement between you and Altus Corp regarding your use of the Website and participation in our programmes and services, and supersede any prior understanding.

Language of Agreement

These Terms and all related policies and communications are made available in English, which shall be the governing language of this agreement.
